1. Agreement to Terms

By accessing or using Retainero (the "Service"), you and your organization agree to these Terms of Service. If you do not agree, do not use the Service.

2. Who We Are

Retainero is built and maintained by a small independent team. We provide tools to help you manage retainers, projects, tickets, communications, and client portals. We strive to keep the platform stable and to support you as best we can.

3. Your Responsibilities

  • You are responsible for how you and your organization use the Service.
  • You maintain control over the data you enter, the access you grant to team members and clients, and the actions taken within your account.
  • You are responsible for maintaining the confidentiality of credentials and for safeguarding your own business operations.

4. No Warranties; Availability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. While we take care to run reliable infrastructure (including backups and retention policies), we do not guarantee that the Service will be uninterrupted, timely, secure, error‑free, or that content will not be lost.

5. Data Backups and Retention

We maintain routine backups and data retention practices intended to minimize risk. However, you acknowledge that data loss can occur (including catastrophic loss) and that we cannot guarantee recovery of any specific data. You should maintain your own backups and exports for critical records.

6. Support and Guidance

We aim to assist where we can, but support is not guaranteed. Response times may vary and are subject to team availability. Any guidance or recommendations are provided as general assistance and are not professional advice.

7. Limitation of Liability

To the fullest extent permitted by law, Retainero, its founders, team members, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, data, or business opportunities; or business interruption; arising out of or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages. In no event shall our aggregate liability exceed the amounts paid by you to Retainero for the Service during the twelve (12) months preceding the claim (or zero if no such amounts were paid).

8. Indemnification

You agree to defend, indemnify, and hold harmless Retainero and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising from your use of the Service, your data, your breach of these Terms, or your violation of any law or the rights of a third party.

9. Prohibited Uses

You agree not to misuse the Service, including (without limitation) attempting unauthorized access, interfering with the Service, or using it to store or transmit unlawful or infringing content.

10. Termination

We may suspend or terminate access to the Service for any violation of these Terms or to protect the security and integrity of the platform. You may also stop using the Service at any time.

11. Changes to the Service and Terms

We may update the Service and these Terms from time to time. If changes are material, we will use reasonable efforts to notify you (for example, via in‑app notice or email). Your continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws applicable in our principal place of business, without regard to conflict of laws principles.
